Case 1 : Reforming Board Committee sat Unity Bank PLC.

Unity Bank PLC, a listed commercial bank in Bangladesh, had been struggling with weak internal controls and delayed risk response. A Bangladesh Bank inspection noted that while the bank had an Audit Committee, Executive committee and risk management committee on paper, their activities were largely symbolic. The audit committee met irregularly and lacked independent oversight. The risk management committee failed to respond to raising credit risks indicators while the executive committee overstepped by influencing operational matters.

Recognizing the governance breakdown the board undertook reforms. It appointed two qualified independent directors to the Audit Committee, ensuring financial and legal expertise. The risk management committee was restructured with defined terms of reference and quarterly reporting was mandatory. The executive committee's scope was narrowed focusing only one argent interim decisions between board meeting's.

With the reforms, Unity Bank reported improved risk tracking, more credible financial reporting and restored trust among regulators and investors.
